Terms and Conditions

KeyFobs Galore Limited only trades under the following names: The Memorable Merchandise Company, Big Bite Promotion and KeyFobs Galore.

Our products are supplied on the express understanding that the client agrees to the following conditions:-

PRICING 

Unless otherwise stated, all prices are exclusive of VAT.
Prices shown are for each unit/piece and for calculation purposes should be multiplied by the relevant quantity figure, unless otherwise stated.
Other services, where available, shall be marked clearly as optional if offered as an additional benefit to the client.
Some product lines are available in smaller quantities than the example quantity shown, while others have a Minimum Order Quantity set by the manufacturer.

PRICING BREAKS

Pricing breaks serve as a guide and quantities between these breaks may be ordered (with exception to those below the Minimum Order Quantity) but will be charged at the rate of the previous price break.
Example (where price breaks for an item are 100, 250 and 500): an order of a quantity between 100-249 units will be charged at the rate of 100 units; 250-499 units will be charged at the rate of 250 units; etc.

MINIMUM ORDER QUANTITIES

Where applicable, we will clearly advise of any surcharge imposed by the manufacturer for quantities falling below the manufacturers set Minimum Order Quantity (MOQ). 
We often advise that our customer considers the benefit of ordering at the MOQ rate against a cost which includes the surcharge.  We can help in understanding these calculations.

VALUE ADDED TAX 

All prices are subject to VAT at the prevailing rate set by HM Treasury at time of order.

PAYMENT

Due to the custom-made / personalised nature of our products, we respectfully request that payment terms are noted to be IN FULL WITH ORDER.
Please note: It is standard procedure that production will not commence until payment has been obtained.
Other payment terms are available upon request from our accounts department and must be agreed in writing before any qualifying order is placed.

CARRIAGE  

We trade internationally. Carriage prices for destinations outside of mainland UK (including "overwater" charges within British Isles) are available on request. 
KeyFobs Galore Ltd (or its trading divisions) regret that it can not and will not be held liable for delays caused by international/political border disputes, acts or threatened acts of terrorism, or accepted acts of God, howsoever arising.

ACCOUNTS

In the event of an application for credit and subsequently being granted an account, the client agrees to make payment within the specified time as set in their agreement with KeyFobs Galore Ltd (or its relevant trading division). If the client fails to make payment when due, KeyFobs Galore Ltd (or its relevant trading division) may at their discretion charge interest on the outstanding balance of all overdue monies at a rate of 4% above Lloyds TSB Bank PLC base rate.

PANTONE MATCHING

Not all products have the option of Pantone colour matching.
Where this is an available option, the client is required to clearly specify the Pantone reference required.
In the absence of the client having this information, every effort will be made to match a colour (such as provided in a non-faded/worn example) and throughout the artwork approval process the client must make the design teams aware of any irregularity or divergence from their perceived colour.
Different materials and manufacturing processes can alter the pigment of original colours and where we are notified of this by the manufacturer, we will work with the client and manufacturer to achieve the desired finish.

ARTWORK

If artwork is to be provided, please ensure that it is in an editable EPS or PDF format.
We will always supply proof artwork for client approval on your chosen product(s) - only with the exception of plain stock orders.
It is the responsibility of our client to check their artwork and to commence the production with their written approval and payment and we advise that particular attention is paid to spelling, numbers as well as sizing, positioning and placement / separation of the colour(s).

PRODUCT APPEARANCE 

Where the client has specified that the goods be of certain size, colour or finish such specifications shall be subject to accepted reasonable commercial variation.
However, we make every effort to advise and inform our clients of known limitations before an order is placed.  
Where the goods comprise or include the clients own materials, KeyFobs Galore Ltd (and its trading divisions) shall not be liable for any damage to such materials howsoever caused during the course of manufacturing, processing or finishing by the factory. The client accepts responsibility for the accuracy and quality of such components.

TOOLS

Tools, dies or plates made specifically for the manufacture of a clients bespoke product(s) to be supplied, shall remain the property of the origination factory and the client may be charged a sum in respect of creating such tools.

QUANTITIES

KeyFobs Galore Ltd (including its trading divisions) reserves the right to deliver in total no more than 5% over or under the quantity of specially imprinted goods ordered.
Where this variation applies, the client shall only be invoiced for the quantity actually supplied.

DURABILITY

KeyFobs Galore Ltd (and its trading divisions) supply goods for the purpose specified by the client.
In the event that advice has been given to the client as to the suitability of a product, it will be deemed to have been done so in good faith and on the basis of information provided by the client during discussion.
KeyFobs Galore Ltd (and its trading divisions) can not and will not accept liability for other uses of the product(s) and are unable to indefinitely guarantee the life of the product(s) as the appropriate use / wear and tear is indeterminable after the client has taken delivery.  
No guarantees can be made with regards to battery-life, where these are provided with the product.
Refills/inks supplied in writing instruments are subject to a maximum warranty of three months from the date of despatch.

LOSS OR DAMAGE  

We can assure our clients that every attempt is made to guarantee safe delivery of products in both the selection of packaging and of carrier.
We do not foresee any complaint arising due to the measures taken on our behalf, although we accept the possibility (however unlikely) that due to factors beyond our control this may one day happen.
Any dispute made in respect of invoices must be made within 14 days of the invoice date.
In this instance our policy is as follows:  
1.  In the event of non-delivery of the entire consignment or damage to, or partial loss of, goods in transit any claim must be made in writing to both KeyFobs Galore Ltd (or its relevant trading division) AND to the carrier within five days of receipt of goods.
2.  In the absence of any claim within the terms herein mentioned, the goods shall be deemed to have been delivered in accordance with the contract.

CANCELLATIONS

The client may not cancel the order without obtaining written consent. No returns shall be accepted through inability to pay or change of requirement (excluding for errors made on our or our suppliers part).
Goods returned to KeyFobs Galore Ltd (or its trading divisions) for such reasons, without authorisation, will be returned carriage forward.

OWNERSHIP  

Both legal and equitable property in the goods shall remain with KeyFobs Galore Ltd (through its trading divisions) until the goods have been paid for in full.
In the event that the goods be sold before the debt is satisfied, the client or selling agent shall hold the proceeds of the sale of goods in trust for KeyFobs Galore Ltd, until the account is settled.  Should the client fall into administration before settlement, the client undertakes to disclose such outstanding monies, and any income from sales, as an interest of KeyFobs Galore Ltd.

RETURNS 

Due to the customised nature of our products, liability will not be accepted by KeyFobs Galore Ltd (or any of its trading divisions) for any errors advised after client approval.
To this end, client approval is always obtained in writing and kept on file.

www.memorablemerchandise.co.uk is committed to protecting your privacy and maintaining the security of any personal information received from you. We strictly adhere to the requirements of the data protection legislation in the UK.   The purpose of this statement is to explain to you what personal information we collect and how we may use it.  

1.   When you order, we need to know your billing information and card information. We do not store this information beyond the validation and verification required during purchase. This allows us to process and fulfil your order. You have the option to withhold personal information that is not required for the order process.  

2.   We use your personal information  solely for payment and billing purposes  to notify you of changes to the website  to update you about new products/services to improve our products/services to conduct research.  

3.   We do not sell, rent or exchange your personal information with any third party for commercial reasons, beyond the essential requirement for credit/debit card validation during purchase. 

4.   We follow strict security procedures in the storage and disclosure of information which you have given us, to prevent unauthorised access in accordance with the UK data protection legislation.   We do not collect sensitive information about you except when you specifically knowingly provide it. In order to maintain the accuracy of our database, you can check, update or remove your personal details by contacting our accounts department.

5. We use a technology called "cookies" as part of a normal business procedure to track patterns of behaviour of visitors to our site. A cookie is an element of data that our Website sends to your browser which is then stored on your system.  You can set your browser to prevent this happening. Any information collected in this way can be used to identify you unless you change your browser settings.  

6.   In order to process credit/debit card transactions, the bank or card processing agency may require to verify your personal details for authorisation outside the EEA (European Economic Area). Your information will not be transferred outside the EEA for any other purpose.
